01The short version

This page covers two different things: how you may use vaultmgt.com, and how Vault engages with creators and brands. The website rules apply automatically when you visit. The engagement rules only apply if you sign a separate agreement with Vault — the signed agreement always controls over anything written here.

Use the site responsibly, don't try to break it, and don't hold us out as your representative without a signed deal. The rest is the long version.

02Definitions

Vault
Vault Management LLC, a Delaware limited liability company.
Site
vaultmgt.com and any subdomain Vault publishes.
You / your
The individual or entity accessing the Site or engaging Vault.
Engagement
A signed services agreement between Vault and you for representation, partnership, or any other paid service.
Content
Anything Vault publishes on the Site — text, images, video, code, design.

03Eligibility

You must be 18 or older and able to form a binding contract under the laws of your jurisdiction. By using the Site, you confirm that you meet these requirements. Vault may refuse to do business with anyone, for any lawful reason, at any time.

04Use of the site

You may visit the Site, read the content, fill out the application or partnership intake forms, subscribe to the newsletter, and contact us. That's it. The Site is not a service you can sign in to, store data in, or build on top of.

We may update, throttle, or take down any part of the Site at any time without notice. We try not to break things; sometimes we do. The Site is offered "as is."

05Engagements

Submitting an application or a brief is not an engagement. Vault does not represent you, owe you a duty of care, or take on any obligation until both parties sign a written services agreement. Any commercial conversation before that point is non-binding and informational.

Once a services agreement is signed, that agreement — not this page — governs the relationship: scope, fees, exclusivity, duration, termination, indemnities, and dispute resolution. Where a signed agreement conflicts with these Terms, the signed agreement controls.

06Intellectual property

Vault's content

Everything on the Site — the brand mark, the wordmark Vault®, the design system, the photography, the typography pairings, the copy — is owned by Vault or licensed to Vault. You may not copy, scrape, mirror, train an AI on, or repurpose Site content without prior written permission, except for ordinary fair-use purposes such as journalistic reference.

Your content

If you submit content to Vault — an application, a brief, sample work — you keep all your rights. You grant Vault a non-exclusive, worldwide, royalty-free license to use that content for the limited purpose of evaluating and responding to your submission. We don't use submitted content for marketing, training data, or anything outside that loop without your explicit written consent.

Feedback

If you send Vault unsolicited feedback or ideas, you license those to Vault perpetually and without compensation. Don't send us anything you wouldn't want us to use.

07Acceptable use

You agree not to use the Site to:

  • Submit false applications, impersonate another creator, or misrepresent material facts.
  • Probe, scan, or test the vulnerability of the Site or related systems.
  • Bypass rate limits, captchas, or any access-control mechanism.
  • Scrape the Site at scale or repackage Vault content as your own.
  • Use Vault's brand, marks, or any creator's likeness in your marketing without our written permission.
  • Use the Site for any purpose that violates US, state, or local law.

If you do any of the above, we may block your access immediately and pursue any other lawful remedy.

08Confidentiality

If, in the course of evaluating an engagement, Vault receives information you mark or reasonably treat as confidential — an unreleased product launch, a creator's deal terms, financial figures — we treat it confidentially and use it only to evaluate the engagement. The same applies in reverse for anything Vault marks confidential.

Confidentiality survives the end of any pre-engagement conversation for three years. Engagements signed after that point will replace this default with their own confidentiality term.

09Disclaimers

The Site is provided "as is" and "as available" without any warranty, express or implied. Vault disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, error-free, or secure.

Statistics, projections, and creator-performance numbers shown on the Site are illustrative or historical. They do not guarantee future outcomes for any specific creator or campaign.

10Limitation of liability

To the maximum extent allowed by law, Vault is not liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Site, including lost profits, lost revenue, lost data, or business interruption, even if Vault has been advised of the possibility.

Vault's total aggregate liability arising out of or related to your use of the Site is limited to the greater of (a) one hundred US dollars (US$100) or (b) the amounts you paid Vault in the twelve months immediately preceding the claim.

Some jurisdictions do not allow these limitations; in those jurisdictions liability is limited to the maximum extent permitted by applicable law.

11Disputes

Informal first

If you have a dispute with Vault, email legal@vaultmgt.com first. We'll do our best to resolve it without escalation.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

Forum

Any unresolved dispute will be brought exclusively in the state or federal courts located in Wilmington, Delaware. Both parties consent to that jurisdiction.

No class actions

Disputes must be brought individually. Class actions, class-wide arbitration, and representative actions are waived to the maximum extent permitted by law.

12General

Changes

We may update these Terms. The "last updated" date at the top reflects the most recent change. Material changes will be highlighted at the top of this page for 30 days before they take effect.

Severability

If any part of these Terms is held unenforceable, the rest stays in effect.

Entire agreement

These Terms (plus our Privacy Policy and any signed engagement) are the entire agreement between you and Vault about the Site.
